China business: “What is corporate governance with Chinese characteristics?”

Over the past 30 years China has evolved a hybrid system of corporate governance (CG), combining elements of both international standards and local characteristics. International CG concepts such as independent directors and quarterly reporting were introduced in the 1990s and early 2000s to attract foreign investment into newly restructured state-owned enterprises (SOEs). Later China developed its own solutions to deal with local problems and political imperatives. Today with the phased inclusion of A shares into the MSCI Emerging Markets Index, and the growing internationalisation and importance of the China capital market, CG in China is becoming increasingly relevant for foreign investors. What key issues and trends should they be focussing on? What is the role of the Party Organisation within enterprises? What does the future look like for SOE and private firm governance? This presentation will address these issues and suggest diagnostic questions that foreign investors could ask about the governance of Chinese listed firms.
