At the CGI Global Governance Summit in Kuala Lumpur on 23 September, ACGA’s Head of Research and Advocacy, Helena Fung, spoke on the panel “Rising Shareholder Activism and Company Engagement”, which examined best practices for board participation in meetings with shareholders and the role of corporate secretaries in facilitating effective investor engagement. Her comments focused on the company 6 secretary’s role in closing the gap between what investors and boards by facilitating opportunities for meaningful dialogue, bringing investor perspectives into the boardroom, and preparing chairs and independent directors for direct engagement with institutions. The panel also discussed when direct engagement with independent non-executive directors adds value, particularly in relation to board effectiveness, succession, remuneration, capital allocation, and accountability, and where those conversations should remain bounded so that execution stays with management.
