On 31 July, Yura Ahn, ACGA’s Research Head for Korea, spoke at a seminar hosted by the Korean Corporate Governance Forum in Yeouido, Seoul, on improving the AGM framework to make Korea’s Stewardship Code more effective. Speaking from the perspective of foreign institutional investors, she argued that removing legal uncertainty is a precondition for collaborative engagement. Uncertainty around the five per cent substantial shareholding disclosure rules can discourage dialogue with companies, and clear criteria are needed so that case-by-case cooperation not aimed at acquiring control does not fall within scope. She also pointed to a structural constraint. Short meeting notice periods, combined with multi-layered custody chains, can leave overseas investors with only one or two days to review AGM resolutions in substance.
