Multiple Proxies in Singapore

In October 2007, ACGA published an original paper on the obstacles to investor attendance at shareholder meetings in Singapore. Titled "Opening Shareholder Meetings to Fund Managers in Singapore", it addressed the legal obstacles that stood in the way of institutional investors attending meetings (an issue commonly referred to at the time as the "two proxy card issue"). The paper offered recommendations on how to resolve the problem, including a draft of a proposed amendment to the Companies Act and the Listing Manual of the Singapore Stock Exchange.  Seven years later, Singapore amended its company law to allow for "multiple proxies" and the two-proxy problem is now history.

Our paper was co-authored by David Smith, now Head of Corporate Governance at Aberdeen Asset Management Asia, Singapore. We would like to thank David for his contribution.
