ACGA Investor Discussion Group (AIDG)

AIDG is a confidential forum where institutional investor members of ACGA discuss timely issues of corporate governance in Asia.

Meetings are held quarterly by conference call (in the early evening, Hong Kong time), with members from around Asia and Europe calling in. Due to the time difference, a follow-up call is arranged for members in the USA and Canada shortly after.

The AIDG agenda is drawn from both ACGA's ongoing research and from suggestions made by members. AIDG helps to inform ACGA's advocacy work with regulators and issuers in the region.

Meeting #1, 2010
Our first meeting for this year was held on March 9, 2010, via conference call, with a call to our North American members the following morning.

The agenda for this meeting was:

  1. Japan:
    • Update on new rules from the FSA and TSE;
    • Letter to FSA on rule changes;
    • Draft ACGA Voting Guidelines on Independent Directors in Japan; and
    • Timing of ACGA delegation to Tokyo in Q3 2010.
  2. India:
    • Follow up to "India White Paper"; and
    • Timing of ACGA delegation to India in the second half of 2010.
  3. Taiwan:
    • Outline of "Taiwan White Paper";
    • Letter to large-cap Taiwanese companies on shareholder voting;
  4. Letter of support to the Philippine Stock Exchange on the "Maharlika Board";
  5. Follow-up to the poison pill letter to the MOJ in Korea and the Ministry's reply;
  6. HKEx soft consultation with ACGA members on connected transaction rules;
  7. Anomalous voting at the recent Fraser & Neave AGM in Singapore.
